Agreement to Terms

Welcome to AI Grocery List. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AI Grocery List ("we," "us," or "our") governing your access to and use of the AI Grocery List application and services (the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

IMPORTANT: These Terms contain an arbitration clause and class action waiver that affect your legal rights. Please read Section 14 carefully.

1. Description of Service

AI Grocery List is an AI-powered grocery list management application that provides:

• Intelligent grocery list creation and management
• AI-powered item categorization using Google Gemini AI
• Purchase history tracking and spending insights
• Price comparison and tracking features
• Smart shopping suggestions
• Family list sharing and collaboration (Pro and Family plans)
• Cross-device synchronization
• Multi-language support (English, Hebrew, Spanish)

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 13 years old to use the Service. If you are under 18, you must have permission from a parent or legal guardian to use the Service.

2.2 Account Creation

To use certain features of the Service, you must register for an account by providing:

• A valid email address
• A secure password
• Optional display name for family sharing features

2.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring your account information is accurate and up to date

2.4 Account Restrictions

You may not:

• Create multiple accounts to abuse free trial periods
• Share your account credentials with others
• Transfer your account to another person without our consent
• Use another person's account without permission

3. Subscription Plans and Pricing

3.1 Available Plans

We offer three subscription tiers:

• Free Plan: Basic features with limitations (ads, limited history)
• Pro Plan: Full features for individual users ($4.99/month or $49.99/year)
• Family Plan: Full features plus family sharing for up to 5 members ($9.99/month or $99.99/year)

3.2 Free Trial

New users may be eligible for a free trial period for paid plans. The trial duration will be specified at the time of sign-up. We reserve the right to modify or discontinue free trial offers at any time.

3.3 Payment Processing

All payments are processed securely through PayPal. By subscribing to a paid plan, you authorize PayPal to charge your selected payment method on a recurring basis according to your chosen billing cycle (monthly or yearly).

3.4 Billing and Renewal

• Subscriptions automatically renew at the end of each billing period unless canceled
• You will be charged the then-current rate for your plan upon renewal
• We will provide at least 30 days' notice of any price increases
• Billing occurs on the same day each billing cycle

3.5 Price Changes

We reserve the right to change our pricing at any time. Price changes will not affect your current billing cycle and will take effect at the start of your next billing cycle. We will notify you of price changes via email at least 30 days in advance.

3.6 Taxes

Prices do not include any applicable sales tax, VAT, GST, or other taxes. You are responsible for paying any taxes associated with your subscription.

4. Cancellation and Refunds

4.1 Cancellation Policy

You may cancel your subscription at any time through:

• Your PayPal account settings
• The subscription management page in the app
• Contacting our support team at support@aigrocerylists.com

4.2 Effect of Cancellation

• You will retain access to paid features until the end of your current billing period
• Your subscription will not renew after the current period ends
• Your data will be retained but certain features will be restricted to Free plan limits
• You can resubscribe at any time

4.3 Refund Policy

General Rule: All subscription fees are non-refundable except as required by law or as stated below.

Exceptions:

• If you cancel within 48 hours of your initial purchase, you may request a full refund
• If we make material changes to the Service that significantly reduce functionality, you may request a prorated refund within 14 days
• Technical issues preventing use of the Service for more than 7 consecutive days may qualify for a prorated refund
• Refunds required by applicable consumer protection laws

To request a refund, contact support@aigrocerylists.com with your account information and reason for the request.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated scripts, bots, or scrapers to access the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or modify any copyright, trademark, or proprietary notices
• Use the Service to spam, harass, or abuse others
• Attempt to bypass any technological measures we use to protect the Service
• Resell or redistribute the Service without authorization
• Use the Service for any commercial purpose without our prior written consent

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement) are owned by AI Grocery List, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use.

6.3 Your Content

You retain all rights to the grocery lists, items, and other content you create using the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to provide and improve the Service.

6.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

7. AI-Generated Content and Accuracy

7.1 AI Categorization

Our Service uses Google Gemini AI to automatically categorize grocery items and provide suggestions. While we strive for accuracy, AI-generated categorizations may occasionally be incorrect or incomplete.

7.2 No Warranties on AI Output

We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You should review and verify all categorizations and suggestions before relying on them.

7.3 Price Information

Price information and comparisons are based on data you provide. We do not verify price accuracy and are not responsible for pricing errors or discrepancies.

8. Family Sharing Features

8.1 Family Plan Requirements

The Family plan allows the account owner to share their grocery list with up to 5 additional family members. All family members must have their own AI Grocery List accounts.

8.2 Account Owner Responsibilities

As the Family plan owner, you are responsible for:

• All subscription charges for the Family plan
• Managing family member access
• Ensuring family members comply with these Terms
• Any activities performed by family members on your shared list

8.3 Family Member Access

Family members have full read and write access to the shared list. The account owner can remove family members at any time. If you cancel your Family plan, all family members will lose access to the shared list.

9. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR AVAILABILITY
• FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS

We do not warrant that:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• Results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AI GROCERY LIST, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR USE
• LOSS OF BUSINESS OPPORTUNITY
• PERSONAL INJURY OR PROPERTY DAMAGE

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless AI Grocery List, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content
• Any activities conducted through your account

13. Service Availability and Modifications

13.1 Service Availability

We strive to provide reliable Service availability but do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance
• Emergency repairs
• Technical difficulties
• Internet or network connectivity issues
• Third-party service outages (Firebase, PayPal, etc.)

13.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes to paid features.

13.3 No Liability for Downtime

We shall not be liable for any loss or damage resulting from Service unavailability, modifications, or discontinuation.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before filing a claim, you agree to contact us at support@aigrocerylists.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.

14.2 Binding Arbitration

If we cannot resolve a dispute informally, you and AI Grocery List agree to resolve any claims through final and binding arbitration, except as specified below.

14.3 Exceptions to Arbitration

Either party may bring a claim in small claims court if it qualifies. Either party may also seek injunctive relief in court for intellectual property infringement.

14.4 Class Action Waiver

YOU AND AI GROCERY LIST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.5 Opt-Out

You may opt out of the arbitration agreement by sending written notice to support@aigrocerylists.com within 30 days of first accepting these Terms.

15. Termination

15.1 Termination by You

You may terminate your account at any time by:

• Canceling your subscription (if applicable)
• Deleting your account through the app settings
• Contacting support to request account deletion

15.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• Your payment method fails or is declined
• We are required to do so by law
• We discontinue the Service

15.3 Effect of Termination

Upon termination:

• Your right to access and use the Service immediately ceases
• We may delete your account and User Content after 30 days
• You remain responsible for any outstanding payments
• Sections of these Terms that by their nature should survive termination will continue to apply

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Israel, without regard to its conflict of law principles.

Subject to the arbitration provisions in Section 14, any legal action or proceeding arising out of these Terms shall be brought exclusively in the courts located in Israel.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date at the top
• Sending email notification for significant changes
• Displaying an in-app notification

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

18. General Provisions

18.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and AI Grocery List regarding the Service and supersede all prior agreements.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

18.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

18.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

18.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

18.6 Third-Party Services

The Service relies on third-party services (Firebase, Google Gemini AI, PayPal, etc.). We are not responsible for the availability, accuracy, or performance of these third-party services.

18.7 Export Controls

You agree to comply with all applicable export and import laws and regulations. You may not use the Service if you are located in a country subject to a U.S. government embargo or designated as a terrorist-supporting country.
